Definitions 1.1 Restricted Partner Content "Restricted Partner Content" means any content, data, metadata, text, images, tables, charts, figures, abstracts, summaries, references, or other materials made available through the Services that are licensed to Valyu by third-party rights holders ("Partners", "Partner"), including publishers, data providers, aggregators, or research organisations, and that are subject to contractual use restrictions imposed by those Partners. Restricted Partner Content includes, without limitation, Outputs, snippets, citations, metadata, summaries, extracted entities, or any other derived material that incorporate, reference, or are generated using such Partner-licensed content, whether provided directly by Valyu or surfaced through Valyu's APIs. 2. General Principles You may use the Services only for lawful purposes and in accordance with this AUP, the Platform Service Agreement, and all endpoint-specific documentation. You are responsible for all activity performed under your API keys. 3. Prohibited Uses You may not use the Services to: 3.1. Illegal, Harmful, or Abusive Activity Break any applicable law or regulationHarm, threaten, or harass individualsGenerate or distribute malware or security exploitsImpersonate individuals or entitiesAccess or use the Services in ways that could damage or impair Valyu systems 4. Content Restrictions You may not use the Services to: 4.1. Circumvent Rights, Copyrights, or Licensing Restrictions Reproduce or redistribute copyrighted contentAccess content behind paywalls or access controlsStore or display publisher content in ways not allowed by licensingExtract, store, or manipulate full-text articles from licensed sourcesUse the Services to access data you are not legally entitled to 4.2. Build, Recreate, or Compete with Datasets You may not: Rebuild, replicate, or simulate any Valyu corpus, dataset, index, or scoringJoin Outputs to reassemble source materialsScrape or bulk download data via high-volume search queriesPerform "benchmark dumping" (large-scale exporting of output) 4.3. Use Outputs to Create Derived or Competitive Products You may not: Develop search engines, RAG corpora, knowledge bases, embeddings, LLMs, datasets, indexes, or generative models that compete with ValyuUse Outputs as seeds for synthetic data that replicates licensed or indexed contentUse Outputs to build evaluation datasets for model training without written permission 5. Model Training & Machine Learning Restrictions This is a zero-tolerance category due to Partner obligations. You may not, under any circumstances, use: OutputsCitationsSummariesMetadataExtracted entitiesAnnotations (or any other content returned by Valyu) for any machine-learning-related activity described below. 5.1. Prohibited Training, Fine-Tuning, Pre-Training, and Distillation You may not use any Valyu content or publisher content to: Train, fine-tune, pre-train, adapt, or calibrate any machine learning modelTrain or update:Large Language Models (LLMs)Embedding or retrieval modelsClassifier or ranking modelsEvaluation or reward modelsSynthetic data generatorsPerform model distillation, compression, imitation or behavioural replication 5.2. Prohibited Dataset Construction and Vectorisation You may not: Embed Outputs into a vector storeCreate, augment, or curate datasets partially or wholly derived from OutputsGenerate synthetic corpora seeded by OutputsStore Outputs or derivatives in structured or unstructured datasetsFeed Outputs into agentic retraining loops, auto-labelling systems, or RL pipelines 5.3. Use Valyu Outputs in Model Evaluation Pipelines (e.g., to test or tune the performance of your own models) Unless expressly authorised by Valyu in writing. 6. Contents Endpoint — User Responsibility for Third-Party URLs 6.1. Your Obligations When Submitting URLs The Contents API endpoint (/v1/contents) extracts and processes content from URLs that you provide. By submitting any URL to the Contents endpoint, you represent and warrant that: (a) You have reviewed and are in compliance with the terms of service, acceptable use policy, and any other applicable usage terms of the target website or service from which content will be extracted. (b) You have reviewed the target website's robots.txt file and any other machine-readable access directives (including but not limited to X-Robots-Tag HTTP headers and directives) and have confirmed that automated extraction of the requested content is not prohibited by those directives. (c) Your use of the extracted content complies with all applicable copyright, intellectual property, data protection, and other laws in the jurisdictions in which you and the target website operate. 6.2. Valyu's Role Valyu processes URLs submitted by you as a technical service provider. Valyu does not independently verify the terms of service or access permissions of third-party websites submitted via the Contents endpoint. You — not Valyu — are the party responsible for ensuring that your use of the Contents endpoint in connection with any given URL is lawful and authorised. 6.3. Indemnification You agree to indemnify and hold harmless Valyu, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or relating to your submission of URLs to the Contents endpoint in violation of this Section 6 or any third-party rights. 6.4. Prohibited Uses of the Contents Endpoint Without limiting the generality of Section 3 and Section 4 above, you may not use the Contents endpoint to: Systematically extract content from a single domain or set of domains at a scale or frequency that constitutes scraping, crawling, or harvestingAccess or extract content from URLs that you know or reasonably should know are protected by terms that prohibit automated access or extractionReconstruct, mirror, or archive a substantial portion of any third-party website or datasetExtract content for the purpose of repackaging and redistributing it as your own, or in a manner that competes with the source website 7. Caching, Retention & Storage Rules 7.1. Restricted Content (Partner / Licensed Sources) You may not: CacheStoreRetainLogIndexReformatCopy any Restricted Content. All Restricted Content must be discarded once the request completes. 7.2. Open Access (OA) & Open Web Content You may temporarily cache Outputs only within the durations specified by Valyu's Documentation. You may not: Store Outputs indefinitelyStore Outputs in volumes sufficient to recreate datasetsStore large batches of outputs from related queriesStore Outputs outside the permitted cache window 8. Automated Usage & Query Behaviour You may not: Generate abusive query patterns (keyword enumeration, brute-force term scanning)Run high-volume queries intended to perform scraping or bulk extractionUse bots to obtain data at a scale that mimics crawling or harvestingPerform load testing without prior written approvalPerform adversarial prompts designed to bypass licensing or content restrictions Valyu may rate-limit, throttle, or block usage that appears harmful or potentially abusive. 9. Security Restrictions You may not: Reverse engineer or attempt to extract Valyu's models, indexes, embeddings, or scoring logicProbe, scan, or test the security of systems without authorisationInterfere with or disrupt the integrity of the ServicesAttempt to bypass geographical, licensing, or content-access restrictions 10. Misrepresentation & High-Risk Use Cases You may not: Use Outputs as factual without verifying the underlying sourcesProvide medical, legal, financial, or regulatory advice based solely on OutputsUse Outputs in automated decision-making without adequate human oversightMisrepresent Valyu's data as proprietary to your own organisation 11. Introduction This Platform Service Agreement (“Agreement”) governs your access to and use of the Valyu APIs, SDKs, documentation, datasets, models, and related services (“Services”). The Services are operated by Valyu.Network Ltd (“Valyu”, “we”, “us”). By using the Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services. You may use the Services only if: you are at least 16 years old, andif under 18, you have parental or guardian permission, andyou have legal authority to enter into this Agreement. 2. Account & Credentials You are responsible for: maintaining the confidentiality of your API keys, andall usage under your API keys. We may suspend or revoke credentials if we detect abuse or policy violations. 3. Licence to Use the Services Subject to this Agreement and all applicable Acceptable Use Policies (“AUPs”), Valyu grants you a limited, revocable, non-exclusive, non-transferable licence to: access and call the Valyu APIs;use Outputs within your applications;store permitted cached Outputs in accordance with Section 7. This licence does not include: rights to Valyu’s corpora, publisher datasets, indexes, embeddings, or internal models;rights to reproduce, copy, or distribute underlying content;rights to create derivative models or datasets;rights to build competing search/indexing services. All rights not expressly granted are reserved. 4. Customer Data You retain all rights in “Customer Data” you send to the API. You grant Valyu a licence to process Customer Data solely to: provide the Services,maintain security,prevent abuse, andimprove system performance and quality. We do not use Customer Data to train models unless you give explicit written permission. 5. Valyu Data and Output “Output” means the results returned from the APIs (e.g., citations, summaries, search results). “Valyu Data” includes: proprietary indexes,embeddings,scoring systems,enriched publisher content,licensed corpora,metadata, annotations, and link structures. Output Rights You may: use and display Outputs within your applications;store Outputs within the caching limits of Section 7. You may not: use any Output for model training, fine-tuning, pre-training, embedding generation, or dataset construction;use Output to recreate the structure of any Valyu dataset or publisher corpus;resell or sublicense Outputs. 6. Restricted Content (Publisher / Licensed Content) Some Endpoints return “Restricted Content,” including: Publisher-owned academic, medical, financial, and professional content;Content provided under agreements with rights holders;Non-publicly licensed materials. For Restricted Content: No caching is allowed.No storage is allowed.No reproduction is allowed.You must delete the content immediately after the request completes.You may not use it for training, fine-tuning, or dataset creation.You may not display or expose full-text or substantial extracts to end users. This is a strict condition of Valyu’s rights-holder agreements. 7. Caching Rules (a) Restricted Content Strictly no caching or retention. (b) Open Access (OA) & Open Web Content You may temporarily cache Output in accordance with the durations specified in the Documentation. Valyu may modify caching rules per endpoint at any time. You may not cache: full documents,large-scope result sets,data in quantities that enable reconstruction of source datasets. 8. Acceptable Use You must comply with: the Valyu Acceptable Use Policy (“AUP”), andany endpoint-specific usage rules. You may not use the Services to: circumvent paywalls or access restrictions;recreate datasets or build a competing search/index service;scrape, bulk extract, or systematically harvest content;perform benchmark dumping or bulk export of Outputs;use in regulated decision-making (medical, legal, financial) without human oversight;conduct security testing without permission;violate copyright or intellectual property rights. We may suspend access for violations, suspected abuse, or security risks. 9. Payments & Credits Usage is billed based on the rates shown in your dashboard or order form. Enterprise customers may have negotiated payment terms. 10. Availability Valyu provides the Services on a best-effort basis. We do not guarantee: uninterrupted availability,accuracy of data,completeness of content, orfitness for a particular purpose. SLAs may be available under separate written agreements. 11. Intellectual Property Valyu retains all rights in: the Services,indexes, corpora, embeddings, datasets,software, models, algorithms, scoring, and pipelines,any enhancements or derivative works. You retain all rights to your own software and Customer Data. You may not: reverse engineer,attempt to extract underlying datasets,derive model parameters or embeddings,remove or alter copyright notices. 12. Confidentiality Both parties must protect confidential information using reasonable safeguards. Confidential information includes: API keys,unpublished documentation,non-public technical information,customer-specific usage metrics,publisher content,pricing and commercial terms. 13. Termination You may terminate at any time by stopping use of the Services. Valyu may suspend or terminate your access if: you violate the AUP or this Agreement,your usage poses risk to our systems or rights-holder obligations,required by law or publisher agreements. Upon termination: you must delete all cached data,all licences terminate immediately,unpaid fees remain due. 14. Disclaimer The Services are provided “as is” and “as available” without warranties of any kind. Valyu disclaims all implied warranties, including merchantability, fitness for purpose, and non-infringement. 15. Limitation of Liability To the maximum extent permitted by law: Valyu’s liability is capped to the lesser of: £100, orthe total fees paid by you in the 6 months before the claim. Valyu is not liable for: indirect, incidental, special, exemplary, or consequential damages;loss of data, revenue, or profits;decisions made based on Outputs;LLM hallucinations or inaccuracies. These limits apply even if Valyu has been advised of the possibility of such damages. 16. Indemnification You will indemnify Valyu from claims arising from: misuse of the Services,violation of the AUP,infringement resulting from your applications,illegal or harmful activities conducted through your systems. 17. Governing Law This Agreement is governed by and shall be interpreted in accordance with the laws of England and Wales. The parties agree that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with this Agreement. 18. Changes to the Agreement We may update this Agreement and the AUP from time to time. Changes take effect when posted. Your continued use of the Services constitutes acceptance. 19.
