1. Who we are and how to contact us

These Website Terms and Conditions (the “Terms”) govern your access to and use of the Site and any related online interfaces that link to these Terms (together, the “Website Services”).
By using the Website Services, you agree to these Terms.
If you do not agree to these Terms, you must not use the Website Services.
2. How these Terms fit with our other legal documents
These Terms apply to browsing and using our Site, including:
- viewing pages, blog posts and marketing content
- reading documentation and examples
- creating and logging into a Valyu account
- using any publicly available demos or playgrounds that do not have separate terms
Other documents may also apply:
- Customer Terms / Platform Service Agreement (“Customer Terms”)
These apply to your use of our APIs and paid services (for example DeepSearch, Answers, Deep Research and related endpoints).
Where there is a conflict between these Terms and the Customer Terms for paid services, the Customer Terms will prevail. - Acceptable Use Policy (“AUP”)
The AUP sets out what you may and may not do with our services, especially for AI and agentic use cases.
The AUP applies to all use of our APIs and any interactive tools we provide.
- Privacy Policy
Our Privacy Policy explains how we collect, use and protect personal data.
Links to these documents are available on the Site. By using the Website Services, you also agree to comply with the AUP and acknowledge our Privacy Policy.
Nothing in these Terms grants you any right to use Valyu’s APIs or paid services. That access is governed by the Customer Terms or a separate written agreement.
3. Who may use the Website Services
You may use the Website Services only if:
- you are at least 16 years old; and
- if you are under the age of 18, you have permission from a parent or legal guardian; and
- you have the legal capacity to enter into a binding agreement under the laws that apply to you.
If you use the Website Services on behalf of a company or other entity, you confirm that you are authorised to accept these Terms on its behalf.
4. Changes to these Terms and to the Website Services
We may update these Terms from time to time. If we make changes that we consider material, we will take reasonable steps to notify you, for example by updating the “Last updated” date, posting a notice on the Site or sending you an email.
Your continued use of the Website Services after changes take effect means you accept the updated Terms.
We may change, suspend or withdraw any part of the Website Services:
- to reflect changes in our products;
- for security or legal reasons; or
- for business or operational reasons.
We do not guarantee that the Website Services, or any content on them, will always be available or uninterrupted.
5. Accounts, security and access
Some parts of the Website Services may require you to create an account.
You agree to:
- provide accurate and complete information;
- keep your login details secure and confidential;
- be responsible for all activity that occurs under your account; and
- notify us promptly if you suspect unauthorised access to your account.
We may suspend or close accounts, or restrict access to certain features, if we believe you have breached these Terms, the Customer Terms or the AUP, or if we consider it necessary to protect Valyu, our users or our partners.
6. Intellectual property and licence to use the Site
6.1 Our intellectual property
All intellectual property rights in the Website Services and their content are owned by us or our licensors. This includes:
- the Site design, layout and look and feel
- text, code samples, documentation, diagrams and examples
- software, source code and underlying infrastructure
- images, graphics, videos and audio
- our trademarks, logos and branding
You do not acquire any ownership rights in the Website Services or their content.
6.2 Limited licence to you
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:
- access and use the Website Services for your own internal business purposes or personal use; and
- download or print copies of Valyu pages or documentation from the Site for reference, evaluation or integration planning.
- use Outputs returned by the Services, provided that any source attribution and/or citation to Valyu or it’s Partners is included in the Output and is displayed clearly. It will not be removed, obscured, or disabled within your service or product. You must not modify Outputs in a way that suppresses or alters attribution, and you may not circumvent any technical attribution controls included in the Services.
You must not:
- copy, modify, adapt, translate, distribute, sell, lease, sublicense or otherwise exploit the Website Services or their content for any commercial purpose, except as allowed under the Customer Terms or a separate agreement;
- remove or alter any copyright, trademark or proprietary rights notices; or
- use our trademarks or branding in a way that suggests endorsement without our prior written consent.
7. Prohibited uses
You must not use the Website Services:
- in any way that breaches these Terms, the AUP or any applicable law or regulation;
- to attempt to gain unauthorised access to any part of our systems, APIs or data;
- to test, scan or probe the vulnerability of any network or system without our prior written consent;
- to scrape, crawl or systematically collect content or data from the Site for the purpose of building or training search indexes, language models or competing products, unless this is expressly permitted in the Customer Terms or a separate written agreement;
- to reverse engineer, decompile or attempt to derive the source code of any software used to provide the Website Services, except to the extent permitted by law;
- to use bots, scripts or other automated means to access the Website Services in a way that imposes an unreasonable or disproportionately large load on our infrastructure;
- to upload or transmit viruses, malware or other harmful code;
- to harass, abuse, defame or harm Valyu staff, partners or other users;
- to interfere with or disrupt the operation of the Website Services or any servers or networks connected to them.

8. Feedback and suggestions
If you send us feedback, ideas or suggestions about Valyu or the Website Services (“Feedback”), you agree that:
- we are free to use the Feedback without any obligation to you;
- we may use it to improve or develop products and services; and
- you will not claim any compensation, attribution or rights in relation to our use of the Feedback.
You assign to us all intellectual property rights in the Feedback to the fullest extent permitted by law.
9. Third party links and content
The Website Services may contain links to third party websites or services, or display content provided by third parties.
We do not endorse and are not responsible for:
- the content, accuracy or policies of any third party websites; or
- any products or services offered on or through third party sites.
If you access any third party site, you do so at your own risk and you should review that site’s terms and privacy policy.
10. No reliance on information
Content on the Site is not intended as:
- financial advice;
- legal advice;
- medical or clinical advice; or
- any other form of professional advice.
You should obtain professional or specialist advice before taking, or refraining from, any action on the basis of content on the Site.
11. Privacy and data protection
We collect and use personal data in accordance with our Privacy Policy, which explains:
- what personal data we collect;
- how we use it;
- who we share it with; and
- your rights in relation to that data.
By using the Website Services, you acknowledge that we will process your personal data as described in the Privacy Policy.
If you create an account or use our APIs, we may process additional technical and usage data. Details of that processing may also be set out in the Customer Terms and, where applicable, in a Data Processing Agreement with you.
12. Disclaimers
The Website Services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, we:
- do not make any promises or warranties about the accuracy, completeness, reliability, availability or suitability of the Website Services;
- do not guarantee that the Website Services will be uninterrupted, secure or free from errors, defects, viruses or harmful components; and
- disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose and non infringement.
Nothing in these Terms limits or excludes any warranties or rights that cannot be excluded under applicable law.
13. Limitation of liability
Nothing in these Terms limits or excludes liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot be limited or excluded under applicable law.
Subject to the above, to the fullest extent permitted by law:
- we will not be liable for any loss of profits, revenue, business, goodwill, data or any indirect or consequential loss arising out of or in connection with your use of the Website Services; and
- our total aggregate liability to you for all claims arising out of or in connection with the Website Services and these Terms will be limited to the lesser of:
- £100, or
- The total amount (if any) you have paid to us for Website Services in the six (6) months before the event that gave rise to the claim.
If you are using our APIs or paid services, any additional or different limitations of liability will be set out in the Customer Terms or in a separate written agreement. In the event of a conflict, the Customer Terms or that agreement will govern.
14. Indemnity
You agree to indemnify and hold harmless Valyu, our affiliates and our respective directors, officers, employees and agents from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- your breach of these Terms or the AUP;
- your misuse of the Website Services; or
- your infringement of any third party rights in connection with your use of the Website Services.
15. Suspension and termination
We may suspend or terminate your access to the Website Services, or delete your account, at any time if:
- you breach these Terms, the AUP or the Customer Terms;
- we are required to do so by law or by a competent authority; or
- we decide to discontinue the Website Services.
Where reasonably possible, we will try to give you notice before suspension or termination.
You may stop using the Website Services at any time, and you may request closure of your account by contacting us.
Termination of these Terms does not affect any provisions which are intended to survive, including those relating to intellectual property, liability, indemnity and governing law.
16. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or with the Website Services, are governed by the laws of England and Wales.
You and Valyu agree that the courts of England and Wales will have non exclusive jurisdiction.
17. Miscellaneous
- Entire agreement
These Terms, together with the AUP, the Privacy Policy and any applicable Customer Terms, form the entire agreement between you and Valyu in relation to the Website Services.
- No waiver
If we do not enforce a right or provision under these Terms, that does not mean we have waived it.
- Severability
If any part of these Terms is found to be invalid or unenforceable, the rest will remain in full force and effect.
- Assignment
We may assign or transfer our rights and obligations under these Terms to another entity. You may not assign or transfer your rights or obligations without our prior written consent.
- Relationship
Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and Valyu.
- Language
These Terms are in English. If we provide a translation, the English version will prevail if there is any conflict.
