VALYU PLATFORM SERVICE AGREEMENT

1. Introduction
This Platform Service Agreement (“Agreement”) governs your access to and use of the Valyu APIs, SDKs, documentation, datasets, models, and related services (“Services”).
The Services are operated by Valyu.Network Ltd (“Valyu”, “we”, “us”). By using the Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services.
You may use the Services only if:
- you are at least 16 years old, and
- if under 18, you have parental or guardian permission, and
- you have legal authority to enter into this Agreement.
2. Account & Credentials
You are responsible for:
- maintaining the confidentiality of your API keys, and
- all usage under your API keys.
We may suspend or revoke credentials if we detect abuse or policy violations.
3. Licence to Use the Services
Subject to this Agreement and all applicable Acceptable Use Policies (“AUPs”), Valyu grants you a limited, revocable, non-exclusive, non-transferable licence to:
- access and call the Valyu APIs;
- use Outputs within your applications;
- store permitted cached Outputs in accordance with Section 7.
This licence does not include:
- rights to Valyu’s corpora, publisher datasets, indexes, embeddings, or internal models;
- rights to reproduce, copy, or distribute underlying content;
- rights to create derivative models or datasets;
- rights to build competing search/indexing services.
All rights not expressly granted are reserved.
4. Customer Data
You retain all rights in “Customer Data” you send to the API.
You grant Valyu a licence to process Customer Data solely to:
- provide the Services,
- maintain security,
- prevent abuse, and
- improve system performance and quality.
We do not use Customer Data to train models unless you give explicit written permission.
5. Valyu Data and Output
“Output” means the results returned from the APIs (e.g., citations, summaries, search results).
“Valyu Data” includes:
- proprietary indexes,
- embeddings,
- scoring systems,
- enriched publisher content,
- licensed corpora,
- metadata, annotations, and link structures.
Output Rights
You may:
- use and display Outputs within your applications;
- store Outputs within the caching limits of Section 7.
You may not:
- use any Output for model training, fine-tuning, pre-training, embedding generation, or dataset construction;
- use Output to recreate the structure of any Valyu dataset or publisher corpus;
- resell or sublicense Outputs.
6. Restricted Content (Publisher / Licensed Content)
Some Endpoints return “Restricted Content,” including:
- Publisher-owned academic, medical, financial, and professional content;
- Content provided under agreements with rights holders;
- Non-publicly licensed materials.
For Restricted Content:
- No caching is allowed.
- No storage is allowed.
- No reproduction is allowed.
- You must delete the content immediately after the request completes.
- You may not use it for training, fine-tuning, or dataset creation.
- You may not display or expose full-text or substantial extracts to end users.
This is a strict condition of Valyu’s rights-holder agreements.
7. Caching Rules
(a) Restricted Content
Strictly no caching or retention.
(b) Open Access (OA) & Open Web Content
You may temporarily cache Output in accordance with the durations specified in the Documentation.
Valyu may modify caching rules per endpoint at any time.
You may not cache:
- full documents,
- large-scope result sets,
- data in quantities that enable reconstruction of source datasets.
8. Acceptable Use
You must comply with:
- the Valyu Acceptable Use Policy (“AUP”), and
- any endpoint-specific usage rules.
You may not use the Services to:
- circumvent paywalls or access restrictions;
- recreate datasets or build a competing search/index service;
- scrape, bulk extract, or systematically harvest content;
- perform benchmark dumping or bulk export of Outputs;
- use in regulated decision-making (medical, legal, financial) without human oversight;
- conduct security testing without permission;
- violate copyright or intellectual property rights.
We may suspend access for violations, suspected abuse, or security risks.
9. Payments & Credits
Usage is billed based on the rates shown in your dashboard or order form.

- Credits are prepaid and non-refundable.
- We may charge your payment method automatically for usage.
- Overages or failed payments may result in suspension.
Enterprise customers may have negotiated payment terms.
10. Availability
Valyu provides the Services on a best-effort basis.
We do not guarantee:
- uninterrupted availability,
- accuracy of data,
- completeness of content, or
- fitness for a particular purpose.
SLAs may be available under separate written agreements.
11. Intellectual Property
Valyu retains all rights in:
- the Services,
- indexes, corpora, embeddings, datasets,
- software, models, algorithms, scoring, and pipelines,
- any enhancements or derivative works.
You retain all rights to your own software and Customer Data.
You may not:
- reverse engineer,
- attempt to extract underlying datasets,
- derive model parameters or embeddings,
- remove or alter copyright notices.
12. Confidentiality
Both parties must protect confidential information using reasonable safeguards.
Confidential information includes:
- API keys,
- unpublished documentation,
- non-public technical information,
- customer-specific usage metrics,
- publisher content,
- pricing and commercial terms.
13. Termination
You may terminate at any time by stopping use of the Services.
Valyu may suspend or terminate your access if:
- you violate the AUP or this Agreement,
- your usage poses risk to our systems or rights-holder obligations,
- required by law or publisher agreements.
Upon termination:
- you must delete all cached data,
- all licences terminate immediately,
- unpaid fees remain due.
14. Disclaimer
The Services are provided “as is” and “as available” without warranties of any kind.
Valyu disclaims all implied warranties, including merchantability, fitness for purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by law:
Valyu’s liability is capped to the lesser of:
- £100, or
- the total fees paid by you in the 6 months before the claim.
Valyu is not liable for:
- indirect, incidental, special, exemplary, or consequential damages;
- loss of data, revenue, or profits;
- decisions made based on Outputs;
- LLM hallucinations or inaccuracies.
These limits apply even if Valyu has been advised of the possibility of such damages.
16. Indemnification
You will indemnify Valyu from claims arising from:
- misuse of the Services,
- violation of the AUP,
- infringement resulting from your applications,
- illegal or harmful activities conducted through your systems.
17. Governing Law
This Agreement is governed by and shall be interpreted in accordance with the laws of England and Wales.
The parties agree that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with this Agreement.
18. Changes to the Agreement
We may update this Agreement and the AUP from time to time.
Changes take effect when posted.
Your continued use of the Services constitutes acceptance.
